Mandatory notification of trade
28 August 2019 – Reference is made to the announcement dated 19 September 2018, regarding all shareholders in AINMT Holdings AB accepting the offer to swap their shares in AINMT Holdings AB with shares in Ice Group AS (now Ice Group ASA).
Eivind Helgaker, CEO of Ice Group ASA, has today subscribed to swap his shares in AINMT Holdings AB with new issued shares in Ice Group ASA.
Prior to the share swap, Eivind Helgaker, both privately and through Eivhelg AS, a company controlled by Eivind Helgaker, held a total of 138,130 shares in AINMT Holdings AB and 14,346 shares in Ice Group ASA.
Following the share swap, Eivind Helgaker holds a total of 152,476 shares in Ice Group ASA, of which 147,976 are held through Eivhelg AS and 4,500 shares are currently held privately, but is in the process of being moved to Eivhelg AS. Helgaker also holds 545,000 share options in Ice Group ASA.
Helgaker’s swap of shares in AINMT Holdings AB with shares in Ice Group ASA has been conducted as contribution-in-kind at a value of NOK 21.31 per share, equivalent to the average share price between 1 January 2019 and 27 August 2019.
The registration of the share capital increase connected to the above-mentioned transaction is expected to take place tomorrow, Thursday 29 August 2019.
